• KI, a company incorporated in India under the provisions of the Companies Act, 1956. 
• KI as a service provider is engaged in the business of Medical Communications. 
• For every project, we sign a legal contract agreement with our clients. The client may request KI from time to time to provide services as agreed in writing, in accordance with the agreement, and a Statement of Work (SoW) signed between the parties. 
• The services to be performed by KI, delivery timelines along with payment terms are set forth in the applicable SoW, as requested by the client and agreed to by KI. 
• The Project Contract is governed by, relates to and forms a part and parcel of the Master Service Agreement. Both Parties agree that should there be any contradiction or differences between the terms contained herein and the terms and conditions stated in the agreement, the terms and conditions stated in the project contract shall govern in regard to the SoW, timelines and payment terms, in regard to all other matters that agreement shall supersede.
• Pursuant to the agreement and the project contract, KI agrees to perform the services as stated in the agreement
• The SoW or any of its exhibits may only be modified by a written document, signed by both parties.

• KI ensures the following

1. Services should comply in all respect with the description of the services as mentioned in each SoW.
2. KI shall provide services in a professional and diligent manner and shall ensure that the standard of performance of such services shall be commensurate with similar services rendered by other reputed specialized service providers. 
3. KI shall provide the services as per the specified quality and the time schedule given by the client which the personnel of the KI shall not be entitled to change at any stage.
4. KI at all times shall allocate sufficient resources with the appropriate technical & qualified expertise to supply and provide the services in accordance with the agreement
5. None of the Services, or any deliverables provided by KI to the client as part of the services, will infringe, misappropriate or violate any intellectual property or other right of any person or entity.
6. All the information provided by KI to the client are true and accurate in all material respects, are not misleading and does not omit any material fact.
7. KI shall take all necessary measures and precautions in order to maintain the confidential, proprietary and secret nature of client’s confidential information. KI recognizes that the client’s employees may suffer irreparable damages if the confidential information relating to the performance of its obligations or any portion thereof is disclosed to any third party.
8. All the licenses, permits and authorizations as per the applicable laws required for carrying on our business or industry and performing the services are obtained and are in full force and effect.
9. KI is in compliance, in all respects, with all the laws, including environmental laws, applicable anti-bribery laws and regulations affecting its assets, its business and operations and has good title to or valid leases or licenses of, or is otherwise entitled to use its assets.

Bills and Payment Schedule 

• Initial 50% to be made within 30 days of invoice date and on the initiation of work
• Final 50% on first submission of planned deliverables.
• The quotation price will include the actual cost with GST taxes
